1. Definitions
In this Agreement:
Aged Care Act means the Aged Care Act 1997 (Cth) including any
regulations and principles
made under that Act, as varied from time to time.
Aged Care Quality and Safety Commission Act means the Aged Care Quality
and Safety
Commission Act 2018 (Cth) including any regulations and principles made under that Act, as
varied from time to time.
Aged Care Quality Standards means the standards as set out in Quality of
Care Principles
2014 as amended from time to time.
Agreement means this document including any schedules or annexures to
it.
Care Coordination Services means the services forming part of the Home
Care Services
(where applicable), more specifically described in Schedule 3.
Care Plan means your care plan setting out the package of care and
services you will fund
using your Budget.
Business Day means a day (not being a Saturday or Sunday) on which
Australian banks (as
defined in Section 9 of the Corporations Act) are open for general banking business in
Brisbane, Queensland.
Claim means, in relation to a person, any claim, allegation, cause
of
action, proceeding,
liability, suit or demand made against the person concerned, however it arises and whether it
is present or future, fixed or unascertained, actual or contingent.
Commencement Date means the date so specified in Item 1 of Schedule
1.
Confidential Information means all information of Living Well Care
Support which:
- Living Well Care Support has indicated is confidential;
- by its nature, might reasonably be understood to have been disclosed to the
Subcontractor in confidence;
- would be of commercial value to a competitor;
- is commercial information of Living Well Care Support and persons with whom Living
Well Care Support deals;
- is technical information;
- relates to Living Well Care Support’s affairs, including performance or profitability
reports, budgets, margins and marketing strategies;
- is product and market information;
- relates to Living Well Care Support’s clients and suppliers, including lists of customers
and their requirements;
- relates to Living Well Care Support’s training materials, manuals, procedures or
policies; and (j) the terms and conditions of this Agreement.
Consumer means the consumer under a Home Care Agreement.
Corporations Act means Corporations Act 2001 (Cth).
Disqualified Individual has the meaning given to that term in the
Aged
Care Quality andSafety Commission Act.
Disqualified Individual has the meaning given to that term in the
Aged
Care Quality and
Safety Commission Act.
Documentation means the registrations and other qualifications
which
the Personnel of the Subcontractor is required to hold, as notified by Living Well Care Support from
time to time, for the performance of the Home Care Services, including, without limitation, as set
out
in Item 5 of Schedule 1.
Funding means the total amount of funding for a Consumer’s Home Care
Package being the Home Care Package amount and any applicable subsidies
GST means the goods and services tax or similar value added tax
levied
or imposed in
Australia pursuant to the GST Act.
GST Act means A New Tax System (Goods and Services Tax) Act 1999
(Cth).
Home Care Agreement means a home care agreement between the Home
Care
Package
Provider and a Consumer as set out in Schedule 4 with copies separately provided to the
Subcontractor (as that schedule is amended from time to time in accordance with clause 4.2).
Home Care Services means personal care services and other personal
assistance delivered to a Consumer under their Home Care Package.
Home Care Package means the package of Home Care Services provided
to a
Consumer at level set out in their Home Care Agreement.
Initial Term means the initial term so specified in Item 2 of
Schedule
1.
Insolvent means, in relation to a person, when the person:
- suffers the appointment of an administrator, receiver, manager, receiver and manager,
liquidator or provisional liquidator or external controller; or
- being a body corporate:
- is wound up or is dissolved; or
- proposes a reorganisation, moratorium or other form of administration
involving any such arrangement, composition, compromise or assignment or
begins any negotiations for any such purpose or begins any negotiations for
the purpose of any rescheduling or readjustment of all or a material part of its
monetary obligations,
other than to carry out an amalgamation or reconstruction while solvent; or
- is, or states that it is, unable to pay its debts when they fall due or is deemed unable
to pay its debts under any applicable legislation (other than as a result of a failure to
pay a debt or claim which is the subject of a good faith dispute); or
- enters into or resolves to enter into any arrangement, composition or compromise
with or assignment for the benefit of its creditors generally or any class of its creditors
or proceedings are commenced to sanction any such arrangement, composition,
compromise or assignment; or
- ceases, or threatens to cease, to carry on business; or
- takes any steps to obtain protection or is granted protection from its creditors under
the laws of any applicable jurisdiction.
Key Personnel has the meaning given to that term in the Aged Care
Quality and Safety
Commission Act.
Liability means all liabilities, losses, damages, outgoings, costs
and
expenses, of whatever
description, whether actual, prospective, contingent or otherwise and whether or not ascertained.
Loss means loss or damage of any kind (including Liability to a
third
party) however it arises
and whether it is present or future, fixed or unascertained, actual or contingent.
Home Care Services means the Home Care Services to be provided by
the
Subcontractor so described in Schedule 3.
Personal Information means information or an opinion (including
information or an opinion
forming part of a database), whether true or not, and whether recorded in writing or digitally,
about an individual whose identity is apparent, or can reasonably be ascertained, from the
information or opinion.
Personnel of a person includes the officers, employees, agents,
contractors and
subcontractors of that person. For the purposes of this Agreement, the Personnel of Living
Well Care Support excludes the Subcontractor.
Premises means the home of a Consumer or such other location
where the Home Care
Services are to be performed as notified by Living Well Care Support from time to time.
Privacy Law means all applicable privacy laws which relate to Living
Well Care Support’s
collection, use, disclosure or handling of Personal Information.
Renewal Term means a renewal term so specified in Item 3 of Schedule
1.
Reportable Incident means an incident as set out in Schedule 5 as
amended by Living Well
Care Support from time to time and notified to the Subcontractor.
Special Conditions means the special conditions so specified in Item
7
of Schedule 1.
Term means the Initial Term and any Renewal Term(s).
5. Subcontractor’s Personnel
5.1 Employee entitlements
The Subcontractor acknowledges and agrees that it will remain liable for any employment entitlements
to
which
its Personnel are deemed to have been entitled or for which the Subcontractor would be liable,
including
under any law or industrial instrument (however described), in relation to the provision of the Home
Care Services,
including, but not limited to, any entitlement or obligation concerning:
- remuneration and superannuation payable;
- any accrued leave entitlements; and
- any insurance or premium payable (including workers’ compensation).
5.2 WHS
The Subcontractor must, at its own cost, ensure that:
- it and all of its Personnel are qualified and authorised to carry out the Home Care Services;
- it provides a safe working environment for all of its Personnel;
- it complies, and will continue to comply with for the Term of this Agreement, any
relevant work health and safety laws as applicable in the jurisdiction; and
- all necessary occupational health and safety approvals and clearances have been
obtained to carry out the Home Care Services.
5.3 Evidence of compliance
The Subcontractor will, upon request by Living Well Care Support, provide to Living Well Care
Support evidence of:
- compliance with awards and industrial agreements and laws;
- providing annual leave, personal leave and long service leave entitlements;
- the capacity to meet workers’ entitlements and the making of superannuation contributions;
- compliance with workplace health and safety and workers’ compensation laws; and
- compliance with the Aged Care Act, Aged Care Quality Standards, all applicable laws,
awards and regulations
5.4 Compliance by Personnel
The Subcontractor must ensure that its Personnel comply with the provisions of this
Agreement as if they were the Subcontractor.
5.5 Background checks
The Subcontractor must notify Living Well Care Support of its intention to use any Personnel
who have been convicted of or have a pending charge of:
- Murder or attempted murder
- Sexual assault
- Any other form of assault
- Child pornography-related offences
- Abduction or kidnapping offences against a child or vulnerable person involving a
sexual or abusive element
- Animal cruelty
- Dangerous or negligent acts against a person under care
- Fraud or deception
- Drug trafficking
Living Well Care Support may request that Personnel not provide Services under this
Agreement on the basis that there is no current police certificate or having regard to any
criminal history disclosed. Such request will be reasonable.
6. Subcontractor’s obligations
6.1 Use of Premises
The Subcontractor must ensure that it and its Personnel only use the Premises for the
performance of the Home Care Services.
6.2 Access to Premises
- Living Well Care Support shall procure that the Subcontractor and its Personnel be
permitted to access the Premises.
- The Subcontractor must ensure that it and its Personnel comply with any direction from
Living Well Care Support or a Consumer in relation to requirements for access to the Premises.
- The Subcontractor must permit any person authorised by Living Well Care Support to
enter the Premises at all reasonable times for the purposes of:
- ascertaining whether the Subcontractor is observing and performing the
terms and conditions of this Agreement; or
- carrying out any statutory duty under any applicable law or standard.
6.3 Damage
- The Subcontractor must ensure that neither it or any of its Personnel cause any
damage, except for fair wear and tear, to the Premises.
- The Subcontractor indemnifies Living Well Care Support for the direct cost of
remedying any such damage (up to the full replacement cost of relevant infrastructure
or other rectification costs) and any claims by third parties arising out of such
damage, except to the extent any such damage is caused or contributed to by the
negligent acts or omissions or default of Living Well Care Support or its Personnel.
6.4 Training
The Subcontractor must, at the request of Living Well Care Support, make itself and its
Personnel available for any training which is to be provided in relation to the performance of
the Home Care Services.
6.5 Personnel
- The Subcontractor must, to the best of its ability, ensure that all its Personnel
performing the Home Care Services have the necessary skill and experience to carry
out those services.
- The Subcontractor is responsible for ensuring that it is in possession of the
Documentation for each Personnel prior to the performance of the Home Care
Services under this Agreement by such Personnel and shall provide evidence of
such Documentation to Living Well Care Support upon request
6.6 Notification
The Subcontractor must as soon as possible upon becoming aware, notify the Living Well Care Support:
- of any breaches or allegations of breaches of the Aged Care Act Aged, the Care
Quality and Safety Commission Act or the Aged Care Quality Standards against the
Service Provider or its Personnel; or
- where any of its Key Personnel becomes a Disqualified Individual.
- if the Subcontractor considers that a Service for a particular Consumer should be varied.
6.7 Compliance with directions
The Subcontractor must comply with all reasonable directions and requirements of Living Well
Care Support in relation to the delivery of the Home Care Services under this Agreement,
including, but not limited to:
- actions to be undertaken by the Subcontractor in the event of any Reportable Incident;
- actions to be undertaken by the Subcontractor in relation to any potential issues, risks
or likely risks which may arise from the provision of the Home Care Services; and
- any plans or crisis management actions developed by Living Well Care Support in
relation to the Home Care Services.
6.8 Expenses
Except where otherwise notified by or agreed to by Living Well Care Support, the
Subcontractor acknowledges and agrees that it is responsible for any and all expenses that it
incurs in relation to the provision of the Home Care Services. This includes, but is not limited to:
- car
- mobile phone
- Personal Protective Equipment (PPE)
- and other tools of trade
15. Termination
15.1 Termination or expiration of Home Care Agreement
- This Agreement shall terminate immediately upon the termination or expiration of the
final Home Care Agreement to which this Agreement applies.
- The Subcontractor’s provision of Home Care Services in respect of a Home Care
Agreement shall cease upon termination or expiration of that
Home Care Agreement. The Subcontractor agrees and acknowledges that Living
Well Care Support has no obligation to ensure that any Home Care Agreement
remains in force.
15.2 Termination in part
Living Well Care Support reserves the right to terminate the Subcontractor’s provision of
Home Care Services (in whole or in part) upon fourteen (14) days prior written notice in
respect of any Home Care Agreement for any reason and in its sole discretion.
15.3 Termination generally
Either party may terminate this Agreement with immediate or later effect by giving written
notice to the other party if
- that other party breaches any material term of this Agreement not capable of remedy;
- that other party breaches any material term of this Agreement capable of remedy and
fails to remedy the breach within fourteen (14) days after receiving written notice
requiring it to do so;or
- that other party becomes Insolvent except to the extent such right cannot be enforced
due to the operation of sections 415D, 434J or 451E of the Corporations Act
15.4 Termination for convenience
Living Well Care Support my terminate all or part of this Agreement for convenience upon one
(1) months prior written notice to the other party.
15.5 Obligations upon termination
Upon termination or expiration of this Agreement
(a) the Subcontractor must promptly, unless otherwise permitted by Living Well Care
Support, take all necessary steps to ensure it and its Personnel
- vacate the Premises;
- remove any and all of its equipment or other belongings from the Premises
- provide to Living Well Care Support all copies of all records and other such
documents relating to the provision of the Home Care Services to a
Consumer under each Home Care Agreement; and
(b) the Subcontractor must either
- deliver to Living Well Care Support; or
- at Living Well Care Support’s option, irretrievably destroy and satisfy Living
Well Care Support in writing concerning such destruction,
all Confidential Information in its possession, custody or control.
15.6 Accrued rights
Any termination or expiration of this Agreement for whatever reason will not affect or prejudice
any accrued rights or claims of the parties under this Agreement.
15.7 Survival
The provisions of clauses 1 (Definitions); 2 (Interpretation); 5 (Subcontractor’s Personnel); 9
(Non-solicitation); 10 (Audit); 11 (Insurance); 12 (Warranty and indemnity); 13 (Confidentiality
and announcements); 15.5 (Obligations on termination); 15.6 (Accrued rights); 15.7
(Survival); 16 (Notice); 17 (Dispute resolution); 18 (General conditions) and any other
provisions expressed or implied to operate or to have effect after termination shall survive
termination of this Agreement.
18. General conditions
18.1 No guarantee as to minimum engagement or Fees
The Subcontractor acknowledges and agrees that this Agreement does not guarantee and
Living Well Care Support is not obligated to request any minimum amount of Home Care
Services from the Subcontractor or ensure a minimum number of Home Care Agreements are
included under this Agreement or that a minimum of Fees are payable.
18.2 No exclusivity
The Subcontractor acknowledges and agrees that Living Well Care Support that the
Subcontractor is not engaged as the exclusive provider of the Home Care Services under this
Agreement and that Living Well Care Support may engage any other third party to provide
any of the Home Care Services under this Agreement without liability to the Subcontractor.
18.3 Special Conditions
The Special Conditions are in addition to and override the terms of this Agreement to the
extent of any inconsistency.
18.4 Further assurances
Each party will promptly execute all documents and do all things that another party from time
to time reasonably requires of it to effect, perfect or complete the terms and conditions of this
Agreement and any transaction contemplated by it.
18.5 Non-merger of provisions
A provision of this Agreement which can, and is intended to, operate after its conclusion will
remain in full force and effect.
18.6 Severability
If any provision of this Agreement is held to be unlawful, invalid, unenforceable or in conflict
with any rule of law, statute, ordinance or regulation it must be severed so that the validity and
enforceability of the remaining provisions are not affected.
18.7 Waiver
- A single or partial exercise or waiver of a right relating to this Agreement will not
prevent any other exercise of that right or the exercise of any other right.
- A party will not be liable for any loss, cost or expense of any other party caused or
contributed to by any waiver, exercise, attempted exercise or failure to exercise, or
any delay in the exercise of, a right.
18.8 Entire agreement
- This document records the entire agreement between the parties about its subject matter.
- The parties exclude all terms implied by law, where possible.
- Neither party has given any warranty or made any representation to the other party
about the subject matter of this Agreement, other than those warranties and
representations appearing in this document.
18.9 No amendments without agreement
This Agreement may not be modified, discharged or abandoned unless by a document signed
by the parties.
18.10 Subcontracting
The Subcontractor must not subcontract their obligations under this Agreement except with
the prior written consent of Living Well Care Support.
18.11 Assignment
The Subcontractor must not transfer, assign, novate or otherwise deal with its rights and
obligations under this Agreement except with the prior written consent of Living Well Care
Support.
18.12 Counterparts
- This Agreement may be executed in any number of counterparts.
- Together all counterparts make up one document.
- If this Agreement is executed in counterparts, it takes effect when each party has
received the counterpart executed by each other party, or would be deemed to have
received it if it were a notice.
18.13 Jurisdiction
- This Agreement is governed by the laws of the State of Queensland.
- The parties irrevocably submit to the non-exclusive jurisdiction of the courts of the
State of Queensland and the division of the Federal Court of Australia in that
jurisdiction, and the courts of appeal from them.
- No party may object to the jurisdiction of any of those courts on the ground that it is
an inconvenient forum or that it does not have jurisdiction.
18.14 Attorneys
Where this Agreement is executed on behalf of a party by an attorney, that attorney by
executing this Agreement declares and warrants that he or she:
- has been duly appointed;
- and has no notice of the power of attorney under the authority of which he or she
executes the Agreement having been revoked.
18.15 Electronic Execution
Without limiting any other method of signing or delivery permitted by law and subject to all
applicable laws, the parties agree that:
- each party may sign and deliver this document electronically;
- the electronic signature, whether digital or encrypted, of a party on this
document has the same force and effect as their manual or 'wet ink' signature; and
- electronic transmission of a signed counterpart (whether signed electronically
or otherwise) has the same effect as physical delivery of the hardcopy bearing an
original manual or 'wet ink' signature of the signatory.
